PROPOSAL FOR AMENDING BYLAWS & DOR
The Bylaws & DOR Committee and the POA Board have made and approved making the following changes in the
Bylaws and DOR. Property owners may vote by marking Approving All or by marking yes or no for each change.

____ ____ Section 5.1 states Bylaws can be filed in either Sharp or Fulton County. It is the boards
recommendation that changes to the DOR be filed in both.
____ ____Section 8. add “consecutive days” after 14 and remove “during one month”.
____ ____Section 8.2. Add “aka pop-up campers” after tent campers. Also add “Campers must have intact,
functioning holding tanks before being allowed to attach to water” as sentence 2.
____ ____Section 8.9 Add “or damaged” after removed.
____ ____Section 8.16 Add “or its designated agent” after POA in third sentence.
____ ____Section 8.17 Amend size of sign to read “48 x 48” and also add “Anything larger must be approved by
the Board for size, location, and attachment”.
____ ____Section 8.19 Add “Utilities will not be furnished until assessments are paid.”
____ ____Section 9.1 Remove the word “common” at beginning of fourth sentence.
____ ____Add Section 9.1a – New property owners purchasing property between January 1 and June 15 will be
required to pay full assessments. Property owners purchasing property June 16 through December 1 will be
required to pay half assessments and will then be billed full assessments in March of the following year.
____ ____Section 10: Add “lien fees” after Court costs, attorneys fees and other expenses in last paragraph.
____ ____Section 13: Board recommends “certified mail” remain in last sentence.
Changes for Bylaws:
__ ____Article IV, Section 2. Qualifications: add “owner and member in good standing” after Director.
____ ____Section 2. Change wording to “Director’s term shall begin once announcement is made at the annual
meeting . . “
____ ____Section 2. Vacancies. Change sentence to read: “If a Director, for any reason, does not complete a
term of office, the Board may appoint by majority vote, any property owner in good standing to serve until the next
scheduled election. At such time, the appointed person would be eligible to run for election. The person elected
would then serve the remainder of that position’s term.
____ ____The Board recommends that the date of the Annual Meeting for Election of Directors be changed to
the Saturday of Labor Day weekend. This would keep new board members from having to come onto the board in
the middle of the year and work with responsibilities and activities they have no information about.
____ ____Article VI. Section 1. A. Change “member” to “property owner”.
____ ____Section 1. B. Change first sentence to read “For the regular election of Directors at the annual
meeting, the list of candidates shall be presented to the Election Committee Chairman by the Corporate Secretary
45 days prior to election.”
____ ____Section 2. D. change wording in first sentence to read “Ballots with a brief biography of each candidate
shall be prepared and made available to all property owners in good standing . . . . “
____ ____Section 2. E. Remove the word “mailed” from sentence.
____ ____Section 2. F. Add “remain unopened” after “shall be delivered”.
____ ____Section 2. G. Add “shall open” in first sentence after “The Election Committee”.

____ ____Section 1. A. Change annual meeting of the members to read “Saturday of Labor Day weekend”.

____ ____Section 1. Change regular meeting to read “Saturday of Labor Day Weekend each year”.
____ ____Section 4. Change sentence three to read “The appointment of a proxy is not effective until the
Director delivers the completed appointment to the Secretary of the Association, or if unavailable, to another Board
member, and a copy of the same to their appointed proxy. “
____ ____Article IX: Change to read “The Board of Directors “ shall have the exclusive right to contract on behalf
of the members for all maintenance of common elements, good, services and insurance, payment for which is to be
made from the common expense fund, and the actions of the “POA” shall be through its properly designated and
authorized officers who shall sit as the Executive Committee (Board of Directors).
____ ____Article X: Change to read: “By January 15 each year, the officers of the “POA” shall establish” . . .
Change to read: “If the estimated cash requirements should prove inadequate, for any reason, the “Board of
Directors” may at any time” . . . Change to read: “The “Board of Directors” has the power to enforce the provisions”

____ ____Article XIV: Section 1. Change to read “Two (2) months prior to the annual meeting, The President of
the Board, with the approval of majority of the Board, shall appoint the following Board advisory committees
consisting of five (5) POA members each:

The President may also appoint such other committees as deemed necessary. All committee members must be
members in good standing.

after the Annual Meeting, at least five (5) POA members, including at least one (1) Board member to the following
Board Advisory Committees:”

____ ____Controlling Provisions: The board feels that this is a very important statement and should be left as is
to protect against any conflict between the Bylaws, DOR or Articles of Incorporation.
